2.3 "Content" means all text, graphics, logos, images, photographs, audio recordings, video recordings, podcast episodes, blog posts, articles, curricula, frameworks, proprietary methodologies, downloadable materials, data, software, and any other information or materials published, displayed, or otherwise made available on or through the Website.

2.4 "User" or "you"or "your" means any individual who accesses, browses, or uses the Website, whether as a visitor, registered user, client, customer, or in any other capacity.

2.5 "We," "us," "our," or "Company" means Empower Us, Inc., its affiliates (including Empower Us, Inc.), its officers, directors, employees, agents, contractors, and representatives, including Dr. Melanie Empowers in her capacity as Founder, President, and Executive/Principal Consultant.

All other trademarks, service marks, and trade names appearing on the Website are the property of their respective owners. Nothing on this Website shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark without the prior written permission of Empower Us, Inc. or the applicable trademark owner.

11. PAYMENT TERMS AND REFUND POLICY

11.1 Fees. Fees for Services, including but not limited to consulting engagements, coaching sessions, workshops, retreats, training programs, and digital products, are as quoted or listed at the time of purchase or engagement. All fees are stated in United States Dollars (USD) unless otherwise specified.

11.2 Payment. Payment is due in accordance with the terms communicated at the time of purchase or as outlined in a separate service agreement or engagement letter. We accept payment methods as indicated on the Website or in your service agreement. You are responsible for all applicable taxes associated with your purchase.

11.3 Cancellation and Refunds.Cancellation and refund policies may vary depending on the nature of the Service purchased:

(a) Consulting and Coaching: Cancellations must be made at least forty-eight (48) hours prior to a scheduled session. Failure to cancel within this timeframe may result in forfeiture of the session fee.

(b) Workshops and Retreats: Refund requests must be submitted in writing at least fourteen (14) calendar days prior to the event start date of the event. Refunds are subject to a reasonable administrative fee. No refunds will be issued for cancellations made fewer than fourteen (14) calendar days before the event or for no-shows.

(c) Digital Products: Due to the nature of digital content, all sales of digital products (including online courses, downloadable materials, and recorded content) are final and non-refundable, unless otherwise required by applicable law.

11.4 Additional Terms. Specific consulting, coaching, or training engagements may be governed by separate service agreements, engagement letters, or statements of work that contain additional payment terms, deliverables, and conditions. In the event of a conflict between these Terms and a separate service agreement, the terms of the separate service agreement shall prevail with respect to the specific engagement.


12. DISCLAIMERS AND WARRANTIES

MELANIE EMPOWERS, EMPOWER US, INC., OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUBSIDIARIES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

(a) your access to or use of, or inability to access or use, the Website or any Content;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, THE CONTENT, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO EMPOWER US, INC. FOR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

13.3 Applicability. The limitations set forth in this Section 13 shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the liability of the Released Parties shall be limited to the fullest extent permitted by applicable law.


14. INDEMNIFICATION

14.1 You agree to indemnify, defend, and hold harmless Empower Us, Inc., Dr. Melanie Empowers, Empower Us, Inc., and each of their respective officers, directors, employees, agents, contractors, affiliates, subsidiaries, successors, and assigns from and against any and all claims, actions, demands, liabilities, judgments, settlements, losses, costs, damages, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

(a) your use of or access to the Website or any Services;

(b) your violation of any provision of these Terms;

(c) your violation of any applicable law, regulation, or third-party right, including without limitation any intellectual property right, privacy right, or publicity right;

(d) any User Content that you submit, post, or transmit through the Website; or

(e) any claim that your User Content caused damage to a third party.

14.2 This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Website.


15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law that would require the application of the laws of another jurisdiction.

15.2 Jurisdiction and Venue. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Website shall be instituted exclusively in the state or federal courts located in Travis County, Texas. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of personal jurisdiction.

15.3 Informal Resolution. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at the address provided in Section 20 below. We will endeavor in good faith to resolve any dispute through informal negotiations within thirty (30) calendar days of receiving your written notice. If the dispute cannot be resolved informally within this period, either party may proceed with formal legal action as provided in this Section 15.

15.4 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION, SUIT, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE TRANSACTIONS CONTEMPLATED HEREBY.

15.5 Attorneys' Fees. Unless otherwise provided by applicable law or a separate written agreement between the parties, each party shall bear its own attorneys' fees, costs, and expenses in connection with any dispute arising under these Terms.


16. TERMINATION

16.1 Termination by Us. We reserve the right, in our sole discretion, to suspend or terminate your access to the Website, in whole or in part, at any time and for any reason, including but not limited to a violation of these Terms, without prior notice or liability to you.

16.2 Effect of Termination. Upon termination, your right to use the Website will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Section 4 (Intellectual Property Rights), Section 12 (Disclaimers and Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Governing Law and Dispute Resolution), and Section 17 (Severability).

16.3 Termination by You. You may terminate your agreement to these Terms at any time by discontinuing your use of the Website and, if applicable, by closing your account. Termination shall not relieve you of any obligations incurred prior to the date of termination, including any outstanding payment obligations.


17. SEVERABILITY

17.2 In the event that any provision is found to be unenforceable, the parties agree that the court may modify such provision to the minimum extent necessary to make it enforceable, while preserving the original intent of the provision to the greatest extent possible.

18. ENTIRE AGREEMENT

18.1 These Terms, together with the Privacy Policy and any other legal notices, policies, or service-specific agreements published by us on the Website or executed between you and Empower Us, Inc., constitute the entire agreement between you and Empower Us, Inc. with respect to your use of the Website and supersede all prior or contemporaneous understandings, communications, proposals, and agreements, whether written or oral, between you and Empower Us, Inc. regarding the Website.

18.2 No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition.
